METHODOLOGY
Pre-investment phase
- Screening: assessment of the main sustainability risks of a potential investment via a sustainability checklist
- Due diligence and analysis
- Integration of sustainability in the investment decision and clauses in shareholder agreements
Coaching phase
- Roadmap: sustainable transformation is driven at three levels: core business, operations and governance, and external initiatives and philanthropic engagement; the sustainability roadmap is integrated with the overall strategic roadmap
- Appointment of a person responsible for sustainability within the portfolio companies
- Reporting: definition of key performance indicators and implementation of a relevant reporting process
- Raising awareness and sharing best practice, supporting the sustainability strategy through the sustainability officer and/or external advisors
Divestment phase
- Share sustainability progress and roadmap with potential buyers
- Remuneration policies linked to the integration of sustainability risks: Sustainability criteria are integrated into the annual evaluation of team members. They are taken into account in the assessment of the annual bonus and represent 10% of the target variable compensation
FOCUS ON ESG DUE-DILIGENCE
ESG due-diligence consists of analysing the target company’s performance in terms of ESG criteria: environmental, social and governance criteria.
- Human resources: audit of the HR strategy (safety at work, training, talent retention, diversity, etc.)
- Supplier risk management: implementation of monitoring processes
- Environment: investments to reduce environmental impact, sensitivity to the reduction of certain natural resources or fossil fuels, etc.
- Products and services: development of product innovations through the ESG lens
- Societal: company strategy on societal commitments, evaluation of the return on investment concerning image and team mobilisation, consequences of these investments on the "licence to operate", etc.
